These Terms of Use (“Terms”) govern your access to and use of www.cinenow.global (the “Site”), operated by CineNow Limited, a British Virgin Islands business company (“CineNow”, “we”, “us”). By accessing the Site you agree to these Terms. If you do not agree, please do not use the Site.

1. No offer or solicitation

The information on this Site is for general information only and does not constitute an offer to sell, or a solicitation of an offer to buy, any security, fund interest or other financial instrument, in any jurisdiction where such an offer or solicitation would be unlawful. Any offer is made solely to qualified / accredited investors by means of a confidential Private Placement Memorandum (the “Memorandum”) and related offering materials.

Materials such as the Memorandum are made available only to persons who qualify as qualified / accredited investors under applicable law and only in jurisdictions where permitted. By requesting such materials you represent that you meet those requirements.

These Terms are governed by the laws of the British Virgin Islands, without regard to conflict-of-laws principles, and the courts of the British Virgin Islands shall have jurisdiction over any dispute arising from them.

We may revise these Terms from time to time. The “Last updated” date above reflects the most recent revision; continued use of the Site constitutes acceptance of the revised Terms.
